1. Acceptance of Terms
By accessing or using the RetailPoint Inventory Solution ("RetailPoint", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not access or use our services.
2. Account Usage & Responsibilities
You are responsible for maintaining the confidentiality of your account credentials. RetailPoint cannot and will not be liable for any loss or damage arising from your failure to comply with the following:
- Password Security: You agree to use strong passwords (a combination of upper/lower case, numbers, and symbols).
- Device Security: You must log out of your account at the end of each session, especially when using a shared or public device.
- Prohibited Sharing: You must not share your login credentials with third parties. Any activity performed under your account is your sole responsibility.
3. Prohibited Activities
RetailPoint strictly prohibits the use of our platform for any illegal or unauthorized purpose. We reserve the right to immediately suspend or terminate your account without refund if you:
- Engage in fraudulent, dubious, or scam-related activities.
- Store, track, or manage illegal contraband, prohibited substances, or stolen goods using our inventory system.
- Violate any local, state, national, or international law.
- Attempt to hack, reverse engineer, scrape, or compromise the integrity of the RetailPoint system.
- Use the platform to harass, abuse, or harm another person.
4. Subscription, Renewal & Data Retention
RetailPoint operates on a subscription basis. It is your responsibility to keep your subscription active to maintain access to your data.
- Dormancy Rule: If an account remains inactive with pending dues or no subscription renewal for a continuous period of 12 months, RetailPoint reserves the right to permanently close the account.
- Data Deletion: Upon account closure due to dormancy, all associated data (inventory, sales, customer records) will be permanently deleted to maintain system integrity.
- Notice: We will attempt to send a prior notice to the registered email address before permanent deletion, but we are not obligated to retain data indefinitely for unpaid accounts.
- Backups: Users are strongly advised to regularly export and backup their inventory and sales data. RetailPoint is not liable for data loss resulting from account termination due to non-payment.
5. Limitation of Liability
To the fullest extent permitted by law, RetailPoint shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation:
- Loss of profits, data, use, goodwill, or other intangible losses.
- Unauthorized access, use, or alteration of your transmissions or content.
- Loss of data due to user negligence (e.g., lost passwords, malware on user devices).
- Business interruptions caused by server maintenance or unforeseen technical failures.
6. Modifications to Service
RetailPoint reserves the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. We shall not be liable to you or to any third party for any modification, price change, suspension, or discontinuance of the Service.
7. Governing Law
These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which RetailPoint operates, without regard to its conflict of law provisions.
